RWA Tokenization

DeFinityX facilitates structured access to institutional-grade real-world asset (RWA) tokenization frameworks through selected, licensed and regulated tokenization, securitization and administration counterparties.

The framework enables eligible asset owners to participate in a regulated securitization structure while retaining full legal ownership, operational control and economic rights over their underlying assets. Tokenization is used as a structuring and access mechanism, not as a transfer of ownership, sale, or financing instrument.

Tokenization engagements coordinated by DeFinityX are not loans, equity offerings, or asset disposals. DeFinityX does not issue tokens, provide financing, or act as a regulated financial institution. Our role is to support origination, onboarding coordination and execution readiness, while all regulated structuring, issuance, custody, administration and compliance activities are carried out exclusively by licensed and regulated entities.

Structural Framework

Where applicable, real-world assets are structured within a Luxembourg securitization framework, established pursuant to the Luxembourg Securitization Law of 22 March 2004.

These structures are administered by regulated fund managers, trustees and service providers responsible for:

  • Asset and compartment administration
  • Compliance and regulatory oversight
  • Liquidity coordination (where applicable)
  • Operational governance and reporting

This framework is widely recognised by institutional investors for its legal certainty, investor protection mechanisms and flexibility across asset classes.

DeFinityX Role

Within the RWA tokenisation process, DeFinityX operates as an independent origination, structuring and coordination platform. Our involvement is limited to transaction preparation, stakeholder alignment and execution sequencing, and does not extend into regulated issuance, asset custody or capital control.

Specifically, DeFinityX supports clients by:

  • Originating and assessing initial RWA tokenization enquiries
  • Coordinating onboarding and documentation readiness
  • Aligning legal, valuation and structuring stakeholders
  • Managing procedural sequencing and engagement milestones through to completion

At no point does DeFinityX act as an issuer, fund manager, arranger, custodian, broker, or regulated financial institution, nor does it hold or control client assets.

Governance & Role Clarity

All regulated activities including securitization, token issuance, custody, administration and compliance, remain the sole responsibility of the relevant licensed and regulated counterparties. DeFinityX's role is designed to support clarity, governance and execution discipline, ensuring that tokenization engagements are structured, compliant and institution-ready from inception through completion.

Full Ownership & Economic Retention

Asset owners retain 100% legal ownership, usage rights and economic benefits associated with the underlying asset throughout the life of the structure. Title to the asset remains entirely with the owner at all times and is not transferred, sold, or diluted as part of the tokenization process.

Structured, Predictable Income Profile

Where applicable, the structure may provide access to contractually defined, periodic income distributions, typically structured as fixed monthly coupon payments. Indicative return ranges are determined by the underlying structure, asset profile and institutional counterparties involved and are governed by binding contractual arrangements rather than speculative performance assumptions.

Institutional-Grade Security & Risk Mitigation

Assets are pledged into a Luxembourg securitization compartment benefiting from statutory ring-fencing and bankruptcy remoteness under Luxembourg law. The asset is not refinanced, transferred, or encumbered beyond the defined securitization framework. Capital flows, liquidity management and settlement processes are conducted exclusively through regulated financial institutions meeting institutional credit, compliance and governance standards. Client assets and cash flows remain segregated and administered within regulated infrastructure, with clear legal enforceability supported by contractual documentation and independent trustee oversight.

No Refinancing, Dilution, or Ownership Change

The structure does not involve refinancing, equity dilution, or any change in ownership. The asset remains fully under the control of the owner and is pledged solely for the purpose of participation in a regulated securitization and token distribution framework.

Regulated Luxembourg Securitization Framework

The structure operates pursuant to the Luxembourg Securitization Law of 22 March 2004 and is implemented within a framework aligned with applicable EU securities and regulatory standards, including oversight principles associated with the CSSF regime. This provides a robust legal foundation, transparency and investor protection, consistent with institutional expectations for structured finance and asset-backed arrangements.

The entire lifecycle of your transaction is managed and sequenced through the DeFinityX institutional CRM platform, ensuring structured progression, compliance alignment, and documentation control at every stage.

Initial Application & Submission

You will complete the initial enquiry application form for the Luxembourg securitisation fund structure.

Your DeFinityX Client Relationship Manager or appointed DeFinityX Channel Partner will guide you through this process.

The CRM platform will clearly outline all required documentation, disclosures, and supporting information necessary for preliminary submission.

This ensures your opportunity is packaged in a uniform, institutional-ready format from the outset.

Draft Soft Corporate Offer

Once the required information has been reviewed, a draft Soft Corporate Offer (SCO) is issued outlining:

  • The proposed facility structure
  • Indicative Token Subscription Ratio
  • Income structure
  • Transaction mechanics

If the draft terms are accepted, you will:

  • Complete identity screening
  • Execute a Non-Solicitation Agreement
  • Execute an NCNDA

Following completion of these steps, an official Soft Corporate Offer is issued.

Legal Data Room & Underwriting Preparation

Following acceptance of the Soft Corporate Offer, you will book a structured onboarding call via the integrated scheduling system with your DeFinityX Client Relationship Manager or appointed Channel Partner.

The CRM and secure legal data room portal will display a comprehensive checklist of required documents necessary to progress to the credit-backed term sheet stage.

You will be guided through the process of gathering and uploading all required documentation to the secure data room.

This stage includes full underwriting preparation and documentation sequencing in line with institutional counterparty requirements.

Credit-Backed Term Sheet Submission

Once all documentation has been uploaded and validated within the portal, your fully packaged case is submitted to the DeFinityX credit committee for formal review.

At this stage:

  • The case is assessed for institutional readiness
  • Any additional documentation requirements are identified
  • Your DeFinityX relationship team will liaise with you to resolve outstanding matters

Upon approval, a Credit-Backed Term Sheet is issued.

Valuation & Legal Instruction Stage

Once the Credit-Backed Term Sheet is signed:

  • A formal valuation instruction letter is issued to the agreed independent valuation expert
  • The updated valuation must be addressed to DeFinityX
  • Legal counsel is formally instructed

We maintain a directory of law firms experienced in Luxembourg securitisation structures who can assist you. Alternatively, you may instruct your own legal advisors.

Legal Documentation Finalisation

The CRM platform continues to guide the legal process, clearly outlining all documentation that must be completed and executed.

Once:

  • All agreements are signed
  • The valuation report is received and verified
  • Legal structuring documents are finalised

The documentation is submitted to the notaries for notarisation.

Notarisation

All governing contracts and securitisation documentation must be notarised prior to completion.

The legal data room tracks notarisation status and completion milestones throughout this stage.

Securitisation Compartment Incorporation

Upon completion of notarisation, the Luxembourg securitisation compartment is incorporated.

The incorporation cost is €30,000.

You may:

  • Pay this directly, or
  • Utilise an approved finance partner to spread the cost over the first 12–24 months of the facility

Token Issuance & Custody Setup

Once the compartment is established:

  • The Security Trustee representative initiates token issuance
  • Digital securities are minted onto the Polymesh blockchain
  • A BitGo custodial account is established
  • Security keys are issued to you, the Security Trustee, and the liquidity pool

Liquidity Drawdown

The institutional liquidity pool deploys capital in accordance with the agreed Token Subscription Ratio.

The total subscription value is transferred into the designated custodial account.

At this stage:

  • Arrangement fees are settled
  • Investment insurance (where applicable) is activated
  • The structure moves into live status

Investment & Income Distribution

Funds are deployed in accordance with the Financial Management Agreement.

You will receive your first monthly coupon on the last working day of the month following completion.

Ongoing Servicing & Reporting

The structure enters ongoing lifecycle management.

This includes:

  • Monthly income administration
  • Compliance monitoring
  • Annual reporting requirements
  • Institutional oversight

Your DeFinityX Client Relationship Manager or appointed Channel Partner will remain engaged in supporting you throughout the lifecycle of the structure.
